1. Introduction
Welcome to Meadow Biosciences, Inc. (“Meadow,” “we,” “our,” “us”). These Terms govern your use of our telehealth platform, diagnostics, laboratory coordination, pharmacy partner integrations, educational content, and any related services. By accessing or using the Services, you agree to these legally binding Terms.
2. Eligibility & Account Registration
You must be at least 18 years old or have a legal guardian manage your account. You agree that all information you provide is accurate, complete, and kept current. You may not misrepresent your identity, medical history, or location during telehealth encounters.
3. Description of Services
Meadow offers integrated telehealth consultations, diagnostic test ordering, laboratory coordination, biomarker interpretation, and medication fulfillment via licensed third-party pharmacies. Meadow does not practice medicine. All clinical care is delivered by licensed providers.
4. Telehealth Services
Telehealth services are delivered by independently contracted, licensed clinicians. A provider–patient relationship is formed only during active consultation. You consent to telemedicine under your state's laws and agree to accurately disclose your physical location for licensing compliance.
5. Laboratory Testing & Diagnostics
Lab tests are ordered through CLIA-certified labs. Meadow is not responsible for processing delays, sample degradation, or inconclusive results. Interpretation is provided for informational and clinical support purposes only.
6. Pharmacy Fulfillment
All medications are dispensed solely by independent licensed pharmacies, including 503A and 503B compounding facilities. Meadow is not a pharmacy. Compounded medications are not FDA‑approved and may carry additional risks regarding stability, potency, or bioavailability.
7. Payment & Billing
Fees for telehealth services, subscriptions, laboratory tests, and pharmacy items will be disclosed before purchase. Meadow does not bill insurance unless explicitly stated. Cancellation and refund policies vary by service type.
8. User Conduct
You agree not to misuse the platform, falsify medical or personal information, attempt to obtain medications fraudulently, harass providers, or interfere with system operations. Violations may result in account suspension.
9. Intellectual Property
All content, branding, platform software, documentation, and media are the intellectual property of Meadow or its licensors. You are granted a limited, non‑exclusive license to use the Services for personal purposes only.
10. Medical Disclaimer
Except for clinician-delivered care, all platform content is educational. Meadow does not guarantee medical outcomes, diagnostic accuracy, or treatment efficacy.
11. Research Participation
Some services may involve optional research components. Participation is voluntary and governed by separate consent forms. De‑identified data may be used for analytics, quality improvement, or research.
11a. Research Contact Consent
By creating an account or using the Services, you agree that Meadow may contact you in the future regarding opportunities to participate in voluntary research studies, surveys, registries, or observational research related to health, diagnostics, treatments, or care delivery.
You understand that:
- Participation in any research is entirely voluntary
- You may decline or withdraw at any time
- Declining research participation will not affect your access to care or services
You may opt out of research-related communications at any time by contacting Meadow or updating your communication preferences.
11b. De-Identified Data Use
Meadow may use, analyze, and share de-identified information derived from your use of the Services for purposes including but not limited to:
- Scientific research
- Quality improvement
- Health outcomes analysis
- Algorithm and product development
- Publication in peer-reviewed journals
- Presentation at scientific or medical conferences
De-identified data means information that does not reasonably identify you and is processed in accordance with applicable privacy laws, including HIPAA de-identification standards.
Such data may be used indefinitely and may be shared with academic institutions, research organizations, and commercial partners, provided it remains de-identified.
Meadow may maintain a voluntary research registry using de-identified data to support longitudinal research efforts. Separate consent may be obtained where required by law or an Institutional Review Board (IRB).
12. Communications (TCPA Compliance)
By providing your phone number, you consent to receive SMS notifications regarding your care, appointments, laboratory updates, and account activity. You may opt out at any time by replying STOP.
13. Third-Party Services
Meadow integrates with independent labs, pharmacies, provider groups, and software vendors. Meadow is not responsible for their actions, decisions, or delays in service delivery.
14. Termination
You or Meadow may terminate your account at any time. Meadow may suspend access for violations of these Terms or for regulatory or safety reasons.
15. Disclaimers & Limitation of Liability
The Services are provided “as is” without warranties. To the fullest extent permitted by law, Meadow is not liable for indirect, incidental, special, or consequential damages related to your use of the Services.
16. Arbitration & Delaware Governing Law
All disputes must be resolved through binding arbitration. This Agreement is governed by Delaware law. Class action waivers apply to the maximum extent allowed by law.
17. Changes to These Terms
Meadow may update these Terms periodically. Continued use of the Services constitutes acceptance of the updated Terms.
